Terms of Use

Governing the use of the ciresta.world website and the services of Ciresta, operated by Ciresta Reputation Advisory (Pty) Ltd, a Private Company (Pty) Ltd registered under number 3393432635 with Companies and Intellectual Property Commission (CIPC).

I. Definitions and Interpretation

In these Terms, unless the context indicates otherwise, "we", "us" and "our" mean Ciresta Reputation Advisory (Pty) Ltd, trading as Ciresta, whose registered address is 412 Lois Avenue, Menlyn, 0181 Pretoria, South Africa; "you" and "User" mean any natural or juristic person who accesses or uses the Website; "Website" means the website at ciresta.world together with all pages, content and functionality made available through it; "Services" means the reputation management services offered by Ciresta in respect of artificial intelligence environments and the media, including the analysis of how a person, brand or organisation is presented in AI-generated answers and in press and online media, the preparation of recommendations and content to improve that presentation, and related advisory work; "Contact Form" means the enquiry form on the Website through which you may send us a message; "Subscription" means the email subscription through which you elect to receive our newsletters and updates; "POPIA" means the Protection of Personal Information Act 4 of 2013; "CPA" means the Consumer Protection Act 68 of 2008; "ECTA" means the Electronic Communications and Transactions Act 25 of 2002; and "Engagement" means a separate written agreement concluded between you and us for the provision of Services.

Headings are for convenience only and do not affect interpretation. References to legislation include that legislation as amended or replaced from time to time.

II. Acceptance of these Terms

By accessing the Website, submitting the Contact Form or completing the Subscription, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Website. You warrant that you are at least eighteen years of age, or that you are assisted by a parent or legal guardian where you are a minor, and that if you act on behalf of a juristic person you are authorised to bind it.

III. Nature of the Website and the Services

The Website provides information about the Services and enables you to contact us and to subscribe to our communications. Nothing on the Website constitutes an offer capable of acceptance, a guarantee of any result, or legal, financial or professional advice directed at your particular circumstances. Services are supplied solely under an Engagement, the terms of which prevail over these Terms to the extent of any conflict in relation to those Services.

You acknowledge that reputation in AI systems and the media depends on factors outside our control, including the independent editorial decisions of publishers and the training, retrieval and output behaviour of third-party AI models. Accordingly, we do not warrant that any specific wording, ranking, citation, correction or removal will be achieved or maintained.

IV. Use of the Contact Form

When you submit the Contact Form, you provide your name, email address, any telephone number you elect to include, and the content of your message. We use this information to respond to your enquiry, to assess whether and how we can assist you, and to prepare a proposal where you request one. Submission of the Contact Form does not create an Engagement or any professional relationship. You must provide accurate information and must not submit unlawful, defamatory, misleading or malicious content, nor personal information of another person unless you are entitled to disclose it. Personal information supplied through the Contact Form is processed in accordance with our Privacy Policy and POPIA.

V. Email Subscription

By completing the Subscription you consent to receive newsletters, commentary and service updates at the email address you supply. Your consent is voluntary and you may withdraw it at any time, without charge, by using the unsubscribe link in any message or by writing to [email protected]. We will give effect to a withdrawal within a reasonable time. Withdrawal does not affect the lawfulness of communications sent before it. We will not send you direct marketing by electronic communication unless you have consented, or unless the circumstances recognised by section 69 of POPIA apply, in which case you will always be given an opportunity to object.

VI. Acceptable Use

You agree not to use the Website in any manner that is unlawful or infringes the rights of others; to attempt to gain unauthorised access to the Website, its servers or any connected system; to introduce malicious code; to interfere with its operation or impose an unreasonable load upon it; to harvest, scrape or systematically extract content or personal information; or to misrepresent your identity or affiliation. We may suspend or restrict access, without notice, where we reasonably suspect a breach of this clause.

VII. Intellectual Property

All content on the Website, including text, methodologies, reports, graphics, logos, the name Ciresta and the arrangement of the Website, is owned by or licensed to Ciresta Reputation Advisory (Pty) Ltd and is protected by the Copyright Act 98 of 1978, the Trade Marks Act 194 of 1993 and other applicable law. You are granted a limited, revocable, non-exclusive and non-transferable licence to view the Website and to print or download extracts for your own internal, non-commercial purposes. Any other reproduction, adaptation, distribution or commercial use requires our prior written consent. Ownership of deliverables produced under an Engagement is governed by that Engagement.

VIII. Third-Party Content and Links

The Website may refer to or link to third-party websites, media publications and AI platforms. Such references are provided for convenience. We do not control, endorse or accept responsibility for the content, availability, policies or practices of third parties, and your use of them is at your own risk and subject to their terms.

IX. Disclaimer and Limitation of Liability

The Website and its content are provided on an "as is" and "as available" basis. While we take reasonable care to keep information accurate and current, we make no warranty that it is complete, error-free or suitable for your purposes, or that the Website will be uninterrupted or free of harmful components. To the fullest extent permitted by law, and without limiting any right you may have under the CPA that cannot lawfully be excluded, neither Ciresta Reputation Advisory (Pty) Ltd nor its directors, employees or agents shall be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, arising from your use of, or inability to use, the Website, or from reliance on its content. Liability for Services is governed exclusively by the relevant Engagement. Nothing in these Terms excludes liability for gross negligence, fraud or wilful misconduct, or any liability which may not be excluded by law.

X. Indemnity

You indemnify us against any claim, loss, damage or reasonable cost, including legal costs on the attorney-and-own-client scale, arising from your breach of these Terms or your unlawful use of the Website, save to the extent that the loss results from our own negligence or wilful default.

XI. Protection of Personal Information

We process personal information in accordance with POPIA and our Privacy Policy, which forms part of these Terms by reference. You have the rights afforded by POPIA, including the rights to access, correct and delete your personal information, to object to processing and to withdraw consent. Requests may be directed to [email protected]. You may also lodge a complaint with the Information Regulator (South Africa). Our use of cookies is described in our Cookie Policy.

XII. Electronic Communications

In accordance with ECTA, you agree that communications between us may be conducted electronically, and that data messages, including emails and Contact Form submissions, are capable of constituting valid and binding communications. Our information, as required by section 43 of ECTA, is as follows.

XIII. Amendment of these Terms

We may amend these Terms from time to time by publishing the revised version on the Website, stating the date of revision. Your continued use of the Website after publication constitutes acceptance of the amended Terms. Where an amendment materially affects Subscription recipients, we will take reasonable steps to notify them.

XIV. Suspension and Termination

We may, in our discretion and without liability, suspend or terminate your access to the Website or cancel your Subscription where you breach these Terms or where required by law. Provisions which by their nature are intended to survive termination, including those concerning intellectual property, limitation of liability and indemnity, shall so survive.

XV. General

These Terms constitute the entire agreement between you and us in relation to use of the Website. If any provision is found to be invalid or unenforceable, it shall be severed and the remainder shall continue in force. No failure or delay in exercising a right constitutes a waiver. We may cede or delegate our rights and obligations; you may not do so without our written consent. No variation by you is effective unless in writing and signed by us.

XVI. Governing Law, Disputes and Domicile

These Terms are governed by the laws of the Republic of South Africa. You consent to the non-exclusive jurisdiction of the High Court of South Africa having jurisdiction over Ciresta Reputation Advisory (Pty) Ltd, or, where applicable, the Magistrates' Courts. Before instituting proceedings, the parties shall endeavour in good faith to resolve any dispute by correspondence. Where you are a consumer, nothing herein limits your right to approach the National Consumer Commission, the National Consumer Tribunal or an accredited ombud or alternative dispute resolution agent. We select 412 Lois Avenue, Menlyn, 0181 Pretoria, South Africa as our domicilium citandi et executandi for the service of legal notices, and notices to us shall also be sent to [email protected].
